Confidentiality Agreement

01Why this agreement

AlphaChain Drive is private and shared by invitation. This agreement keeps it that way. It works both ways: you keep AlphaChain Drive confidential, and we keep your dealership's data confidential.

02What's confidential

Everything about AlphaChain Drive that isn't public: its screens, features, designs, workflows, how it works, its plans and pricing, and anything we tell you or show you about it.

Your dealership's own data is not our confidential information. It's yours, and we keep it confidential under the Terms of Use and the Privacy Notice.

03What you agree to

• Use AlphaChain Drive only to try it or run it for your own dealership.
• Don't share, show, copy, screenshot, record or describe AlphaChain Drive to anyone outside your dealership.
• Don't let anyone outside your dealership use a login, and don't share logins inside it.
• Don't take apart, reverse engineer or copy the software, and don't use what you learn from it to build, design or help with anything that competes with it.
• Make sure everyone at your dealership you give a login to follows this agreement too.

04What isn't covered

Information that was already public, that you knew before we shared it, or that you got from someone else who was free to share it. If the law requires you to share something, tell us first if you're allowed to, and share only what's required.

05How long it lasts

This agreement starts when you accept it and lasts for 3 years after your dealership stops using AlphaChain Drive, and for as long as any part of it stays a trade secret.

06When you stop

If your dealership stops using AlphaChain Drive, stop using it and delete anything about it you saved, other than your own dealership's data.

07If it's broken

Sharing AlphaChain Drive could cause harm that money alone can't fix, so we may ask a court to stop it, in addition to anything else the law allows. This agreement is governed by the laws of the State of Arizona.
