01Who these terms are between

These Terms of Use are between AlphaChain Drive ("we", "us") and the dealership that uses AlphaChain Drive ("you"), including everyone at your dealership who has a login. By creating a login or using AlphaChain Drive, you agree to these terms, the Privacy Notice and the Confidentiality Agreement.

The person who accepts these terms for a dealership confirms they're allowed to accept them for that dealership.

02What AlphaChain Drive is

AlphaChain Drive is software for running a car dealership: opportunities and customers, inventory, desking, F&I, service, parts, reports and the tools around them. We may add, change or remove features over time.

03Private demos

A private demo is by invitation only. It's free, it's for your dealership alone, and it runs for the number of days shown when your demo starts. We can extend it or end it early.

Your demo is its own dealership in AlphaChain Drive. Nobody at another dealership can see it, and you can't see theirs.

During a demo, AlphaChain Drive is provided as it is. Features may change, and you shouldn't rely on a demo as your only record of a deal, a payment or a customer.

04Your data is yours

Everything you put into AlphaChain Drive, including anything you import, belongs to your dealership. We use it only to run AlphaChain Drive for you. We don't sell it, we don't share it with other dealerships, and we don't use it to train AI.

You can download your records at any time from Settings.

When your demo ends, you take your data with you and we keep nothing. Download what you want to keep, and then we delete your dealership: its records, its files and its logins. Deleted data is gone from our live systems right away and drops out of our backups as they expire, within 30 days.

05Logins and security

Every login belongs to one person and uses two-step sign-in. Don't share logins. Your dealership's admins decide who gets a login and what each person can see, and they can switch a login off at any time.

Tell us right away at david@alphachaindrive.com if you think someone got into your account who shouldn't have.

06Using it the right way

You agree not to:

• use AlphaChain Drive for anything unlawful, or to send messages your customers didn't agree to receive;
• try to get into another dealership's data, test our security without our written permission, or get around any limit or protection;
• copy, resell or rent AlphaChain Drive, or let anyone outside your dealership use it;
• take apart, reverse engineer or copy the software, or use it to build something that competes with it.

07Your customers and the law

Your dealership stays responsible for its own deals and its own compliance: disclosures, taxes and fees, credit and lending rules, privacy and texting rules, and anything else the law asks of a dealer. AlphaChain Drive helps with the work, but it isn't legal, tax or financial advice. Check the numbers and the paperwork before anything goes to a customer.

You confirm you have the right to put your customers' information into AlphaChain Drive and to contact them through it.

08Highbeam, the AI assistant

Highbeam is off until your dealership's owner turns it on. When it's on, the details needed to answer a question (for example a customer's first name, a vehicle or a task) are sent to our AI provider to write the answer. Highbeam only drafts and suggests. A person at your dealership reads and sends anything that goes to a customer.

09Services we rely on

We use trusted providers to run AlphaChain Drive, such as hosting, file storage, email delivery, text messaging (when you connect it) and the AI provider behind Highbeam. They handle your data only to provide their service to us.

10No warranty

AlphaChain Drive is provided "as is" and "as available". We work hard to keep it accurate, secure and running, but we can't promise it will always be free of errors or interruptions.

11Limit on liability

As far as the law allows, we aren't responsible for indirect or consequential losses, such as lost profits, lost deals or lost data, and our total responsibility for any claim is limited to what you paid us for AlphaChain Drive in the 12 months before the claim. During a free demo, that amount is zero.

12Ending

You can stop using AlphaChain Drive at any time. We can suspend or end access if these terms are broken or to protect AlphaChain Drive or other dealerships. Sections that by their nature should continue (like confidentiality, data deletion and the limit on liability) continue after the end.

13Changes and questions

If we change these terms, we'll show the new version and ask you to agree again before you continue. These terms are governed by the laws of the State of Arizona.
